These Terms of Service ("Terms") are a binding agreement between you and TNZ Productions LLC ("we," "us," "TNZ Productions") governing your use of KovaStudioFX, our music and video creation studio, including the application, websites, and related services (collectively, the "Service").

1. Acceptance of these Terms

By downloading, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, Acceptable Use Policy, and AI Content Policy, which are incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service, and at least the age of majority in your jurisdiction to enter a binding contract or purchase a paid plan. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at legal@kovastudiofx.com of any unauthorized use. Information you provide must be accurate and kept current.

4. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use KovaStudioFX for your personal or internal business creative purposes. You may not sublicense, resell, reverse-engineer, or attempt to extract source code from the Service except to the extent that restriction is prohibited by law.

5. Your content

You own your content. Beats, recordings, projects, mixes, videos, lyrics, and other material you create with or upload to KovaStudioFX ("Your Content") remain yours. We claim no ownership over Your Content.

You grant us only the limited license needed to operate the Service — for example, to store, display, and process Your Content on your instruction, and to transmit the specific inputs you submit to a feature (such as an AI provider) so we can return the result you asked for. This license exists solely to run the Service and ends when you delete the content or your account, except for content already transmitted to third-party providers under their terms, and for backups retained for a limited period.

You are solely responsible for Your Content and represent that you have all rights necessary to use it, including any samples, footage, images, or recordings you import.

6. AI-generated features and output

KovaStudioFX offers optional AI features. Ownership of AI-generated output, and your responsibilities when using it, are governed by our AI Content Policy. In short: you own the output you generate, subject to the terms of the underlying AI providers and applicable law, and you are responsible for how you use it.

7. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. Among other things, you may not use KovaStudioFX to infringe others' rights, create unlawful content, or abuse the AI features. We may suspend or terminate accounts that violate that policy.

8. Plans, payment, and refunds

KovaStudioFX offers a free tier and paid plans. Paid plans may include AI generation credits or higher limits. Prices are shown at purchase and processed by Stripe. Subscriptions renew until canceled; you may cancel at any time, effective at the end of the current billing period. Except where required by law or expressly stated at purchase, fees are non-refundable. AI generation credits, once consumed, are not refundable. We may change pricing prospectively on notice.

9. Our intellectual property

The Service itself — including KovaStudioFX software, the KovaStudioFX name and logo, UI, and underlying technology — is owned by TNZ Productions LLC and protected by intellectual property laws. Except for the license in Section 4, these Terms grant you no rights in our intellectual property.

10. Third-party services

The Service integrates third-party providers (for example, AI model providers and Stripe). Your use of those features may also be subject to the providers' terms. We are not responsible for third-party services and disclaim liability arising from them to the extent permitted by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate, original, or fit for any particular use.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TNZ PRODUCTIONS LLC AND ITS OWNERS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless TNZ Productions LLC from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of any third party.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, or as needed to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Spokane County, Washington will have exclusive jurisdiction over disputes, and you consent to their jurisdiction and venue, except where applicable law gives you the right to bring a claim elsewhere.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Effective" date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
